Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") form a binding agreement between you and WA Chump & Sons Associates Ltd ("we", "us", "our"), a company registered in England and Wales, trading as Noddle.

By accessing or using Noddle, you agree to be bound by these Terms. If you do not agree, please do not use the service.

2. Eligibility

• You must be at least 13 years old to use Noddle
• If you are between 13 and 16, we recommend parental oversight
• You must provide accurate information during registration
• You may only create one account per person
• You must be legally capable of entering into binding contracts

3. The Service

Noddle is a voice-first adaptive learning platform that uses AI to provide personalised tutoring. The service includes:

• AI-powered learning conversations
• Document upload and processing for personalised content
• Spaced repetition and flashcard features
• Progress tracking and assessments
• Audio summaries and text-to-speech
• Deep research and slide generation

Feature availability and usage are subject to current product availability, the plan limits below, and applicable AI budget and safety safeguards. We do not promise that every feature will be available at all times or on every account.

4. Subscription Plans and Pricing

4.1 Available Plans

We offer the following subscription tiers (prices in GBP, inclusive of VAT where applicable):

We do not currently offer a Team tier for self-service purchase. For team enquiries, contact info@wachump.net; any team arrangement would be discussed separately and is not described as a plan entitlement here.

4.2 Learning-Time Definition

Learning usage is tracked in active minutes. The timer runs while you are actively engaged in a learning conversation and pauses during inactivity. For readability, we show 30-minute equivalents of the daily allowance; these equivalents are not a guaranteed number of conversations or sessions.

• Active learning minutes count against the daily minutes allowance
• Daily learning allowances reset each day and do not roll over
• Document allowances shown above are account totals, not daily allowances

4.3 Free Trial

We may offer a free trial period for new users. Trial terms will be clearly displayed at sign-up. You will not be charged during the trial period. If you do not cancel before the trial ends, your subscription will automatically convert to a paid plan.

5. Billing and Payment

5.1 Payment Processing

All payments are processed securely by Stripe, our third-party payment processor. We do not store your full credit card details on our servers.

5.2 Billing Cycle

• Subscriptions are billed in advance at the monthly or annual interval selected at checkout
• Your billing date is based on the day you first subscribe
• You will receive an email receipt for each payment

5.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period at the then-current price unless you cancel before the renewal date. We will notify you of any price changes at least 30 days in advance.

5.4 Failed Payments

If a payment fails, we will attempt to process it again. If payment cannot be collected after reasonable attempts, your subscription may be suspended or cancelled. You are responsible for ensuring your payment method is valid and has sufficient funds.

5.5 VAT

Prices displayed are inclusive of UK VAT where applicable. For business customers outside the UK, VAT treatment will be applied according to applicable tax rules.

6. Cancellation and Refunds

6.1 Your Right to Cancel

You may cancel your subscription at any time through your account settings or by contacting us at info@wachump.net. Upon cancellation:

• Your subscription remains active until the end of the current billing period
• You will not be charged for subsequent periods
• You retain access to your account and data (subject to our data retention policy)

6.2 Cooling-Off Period (Consumer Rights)

Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, if you are a consumer in the UK, you have the right to cancel within 14 days of your initial subscription without giving any reason.

Important: If you access and use the service during this 14-day period, you acknowledge that you have requested us to begin providing the service immediately and you agree that you will lose your right to cancel once the service has been fully performed.

If you cancel within the cooling-off period and have used the service, we may charge you a proportionate amount for the service used.

6.3 Refund Policy

• Refund requests within the 14-day cooling-off period will be processed in accordance with your consumer rights
• Outside the cooling-off period, subscription fees are generally non-refundable
• We may, at our discretion, offer refunds or credits in exceptional circumstances
• Refunds will be processed within 14 days to your original payment method

6.4 Our Right to Terminate

We may suspend or terminate your subscription if you breach these Terms. In case of termination for breach, no refund will be provided for the remaining subscription period.

7. Changing Your Subscription

7.1 Upgrades

You may upgrade your subscription at any time. When upgrading:

• You will be charged a pro-rated amount for the remainder of your current billing period
• Your new features will be available immediately
• Your next billing date remains the same

7.2 Downgrades

You may downgrade your subscription at any time. When downgrading:

• Your current plan remains active until the end of the billing period
• The new (lower) plan takes effect at the start of your next billing period
• Features not included in the new plan will become unavailable

8. Account Security

• You are responsible for maintaining the security of your account credentials
• You must notify us immediately of any unauthorised access at info@wachump.net
• We may suspend accounts for security reasons
• You are responsible for all activity under your account
• Do not share your login credentials with others

9. User Content and Data

9.1 Your Content

• You retain ownership of content you upload
• You grant us a licence to process your content solely to provide the service
• You are responsible for ensuring you have the rights to upload any content
• We may remove content that violates these Terms

9.2 Data Protection

Your use of Noddle is subject to our Privacy Policy, which explains how we collect, use, and protect your personal data in accordance with UK GDPR.

10. Acceptable Use

You agree to use Noddle in accordance with our Acceptable Use Policy.

We may remove content or suspend accounts for violations, which may include termination of your subscription without refund.

11. Intellectual Property

• Noddle, the Noddle brand, and all associated technology are owned by WA Chump & Sons Associates Ltd
• You are granted a limited, non-exclusive licence to use the service for personal, non-commercial purposes
• You may not copy, modify, distribute, or reverse engineer any part of the service
• Feedback you provide may be used without compensation to improve the service

12. AI Use, Permissions, and Generated Content

12.1 Consent to AI Processing

By using Noddle, you explicitly consent to:

• Your text input being processed by artificial intelligence systems
• Your uploaded documents being analysed by AI to provide personalised tutoring
• AI-generated responses being created based on your learning interactions
• Your learning patterns being analysed to adapt difficulty and teaching approach

12.2 AI Providers and Data Handling

• Anthropic (Claude): AI conversation - text only, no training
• OpenAI (Whisper): Speech-to-text - audio not stored after processing
• ElevenLabs: Text-to-speech - text not stored or used for training

12.3 What AI Can Access

The AI has access to:

• Your current conversation and topic context
• Your previous learning sessions and conversation history
• Documents you have uploaded (processed text only)
• Your stated learning preferences and study level

The AI does NOT have access to:

• Your password or payment information
• Other users' data or conversations
• Your device, files, or applications outside Noddle

12.4 AI-Generated Content Disclaimer

Important Notice:

• Responses are generated by artificial intelligence and may contain errors or inaccuracies
• We make no guarantee of accuracy, completeness, or fitness for any particular purpose
• AI-generated content is not a substitute for professional advice (medical, legal, financial, academic, or otherwise)
• You should independently verify any important information before relying on it
• We are not liable for decisions made based on AI-generated content

12.5 Opting Out

If you do not consent to AI processing, you should not use Noddle, as AI is fundamental to the service. To delete your data, you may delete your account via Settings.

13. Third-Party Services

Noddle integrates with third-party services including:

• Anthropic (Claude AI): AI conversation processing
• ElevenLabs: Text-to-speech audio generation
• Stripe: Payment processing
• Brevo: Email communications
• Google Services: Calendar, Drive, and Gmail integration (optional, user-connected)

These services have their own terms and privacy policies. We are not responsible for their operation or any issues arising from their use.

14. Service Availability

• We aim to provide the service 24/7 but do not guarantee uninterrupted access
• The service may be unavailable due to maintenance, updates, or circumstances beyond our control
• We will endeavour to provide advance notice of planned maintenance where possible
• We are not liable for any loss resulting from service unavailability

15. Disclaimers

• The service is provided "as is" and "as available"
• We do not warrant that the service will be error-free, uninterrupted, or secure
• We do not warrant the accuracy of AI-generated responses
• Noddle is an educational tool, not a replacement for qualified teachers, tutors, or professional instruction
• Results may vary depending on individual use and learning style

16. Limitation of Liability

To the maximum extent permitted by applicable law:

• Our total liability to you for any claims arising from your use of the service is limited to the amount you have paid us in the 12 months preceding the claim
• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• We are not liable for loss of profits, data, goodwill, or other intangible losses

Nothing in these Terms excludes or limits our liability for:

• Death or personal injury caused by our negligence
• Fraud or fraudulent misrepresentation
• Any other liability that cannot be excluded by law

Your statutory rights as a consumer under UK law are not affected by these Terms.

17. Indemnification

You agree to indemnify and hold harmless WA Chump & Sons Associates Ltd and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

• Your breach of these Terms
• Your violation of any law or third-party rights
• Content you upload or transmit through the service

18. Modifications to Service and Terms

18.1 Service Changes

We may modify, suspend, or discontinue features at any time. We will provide reasonable notice where possible for significant changes that materially affect your use of the service.

18.2 Terms Changes

We may update these Terms from time to time. We will notify you of material changes by email or through the service at least 30 days before they take effect. Continued use after changes become effective constitutes acceptance of the new Terms.

If you do not agree to the updated Terms, you may cancel your subscription before the changes take effect.

19. Account Termination

19.1 Termination by You

You may close your account at any time through the Settings page or by contacting us. Upon account deletion, your personal data will be deleted in accordance with our Privacy Policy.

19.2 Termination by Us

We may suspend or terminate your account if you breach these Terms or our Acceptable Use Policy, or if required by law.

19.3 Effect of Termination

• Upon termination, your right to access the service ends immediately
• Data will be deleted per our Privacy Policy within 30 days
• Sections of these Terms that should survive (e.g., limitation of liability, governing law) will continue to apply

20. Dispute Resolution

If you have a complaint or dispute, please contact us first at info@wachump.net. We will attempt to resolve any issues informally.

If we cannot resolve a dispute informally, you may be entitled to use alternative dispute resolution services. Information about ADR is available from the Citizens Advice Bureau.

21. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales.

Any disputes arising from these Terms or your use of the service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer, you may also have rights to bring proceedings in the courts of your country of residence.

22. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, Acceptable Use Policy, and AI Transparency page, constitute the entire agreement between you and us
• Severability: If any provision is found unenforceable, the remaining provisions continue in effect
• Waiver: Failure to enforce any right does not constitute a waiver of that right
• Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights to any affiliate or successor
